Trade terms
Zuletzt aktualisiert 2026-09-10
These terms apply to professional accounts buying for business use. They replace the consumer terms of sale in full. Consumer protection rules, including the right of withdrawal, do not apply to a business purchase.
01
Account approval
A trade account is opened only after we approve the application. Approval sets your market, your price tier, your payment terms and any credit limit, and it can be suspended if those terms are not met.
We validate EU VAT numbers through VIES at application and may revalidate at any time. An account whose VAT number stops validating moves to prepayment until it is resolved.
You are responsible for who you invite onto your account. Orders placed by a named user bind the company.
02
Prices and orders
Net prices are shown excluding VAT, per SKU and per tier, and are valid as displayed at the time of order. We may change list prices with notice; a confirmed order keeps the price it was confirmed at.
Orders are subject to minimum order quantity and case quantity per SKU.
03
Payment terms
Approved accounts may order on invoice terms. Invoices are issued at dispatch and fall due within the payment period set for the account. Until an account has payment terms, orders are prepaid.
Overdue invoices carry statutory commercial interest and reasonable recovery costs under Directive 2011/7/EU as implemented in the Netherlands. We may hold further dispatches while an invoice is overdue.
04
VAT
Intra-community supplies to a business with a VAT number validated through VIES outside the Netherlands are invoiced with VAT reverse charged, Article 196 EU VAT Directive. Supplies to buyers registered in the Netherlands carry Dutch VAT. Supplies to Great Britain follow the UK rules for the value and route concerned.
05
Retention of title
Title to goods passes only when we have been paid in full for them. Until then you hold them as bailee, keep them identifiable, and insure them. Risk passes on delivery, so risk and title move at different moments and you carry the risk first.
06
Delivery and Incoterms
Delivery terms, lead times and Incoterms are as stated on the order confirmation. Lead times are estimates given in good faith, not guarantees, and a delay does not by itself entitle you to cancel a confirmed order.
Check the delivery on arrival and tell us about shortages or damage within three business days, with photographs.
07
Resale, claims and artwork
You may resell only in the markets agreed with us, and only in countries where the product is notified or registered. Reselling into a country where it is not is a breach of these terms and a regulatory problem for both of us.
You may use only the approved claim set for the market you sell in, with the mandatory notice and the registration reference. You may not create, translate, shorten or extend a claim.
Any artwork carrying our name, our marks or the product's regulatory content is approved by us in writing before print, per market and per version.
08
Regulatory responsibilities
We supply the safety data sheets, labels, technical data sheet, certificates and notification letters for the markets you are approved for. Always use the current version from the professional portal.
You are responsible for compliance with the rules that apply to your own activity in your market, including any duty to notify a poison centre, to report to a national register, or to hold a licence to supply biocidal products.
09
Liability
Neither party excludes liability that cannot be excluded by law. Beyond that, our liability under these terms is limited to the value of the goods supplied in the twelve months before the claim, and neither party is liable for indirect or consequential loss or for loss of profit.
We are not liable for loss arising from use of the product contrary to its label, from resale into a market it is not approved for, or from a claim you made that we did not approve.
10
Termination and governing law
Either party may close the account on written notice. Orders already confirmed are completed and paid for. Clauses that by their nature survive, including retention of title, confidentiality, claims and liability, survive termination.
Dutch law applies. The courts of Gelderland have exclusive jurisdiction.
